By accessing or using Zania's website, applications, AI platform, and related services (the "Services"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, do not use the Services.
Services Overview
Zania provides AI-powered services for security, privacy and compliance. You must comply with all applicable laws in your use of the Services and may only use them for their intended lawful purposes.
Your Use of the Services
You may not copy, modify, distribute, sell, lease, reverse engineer, or derive source code from any portion of the Services. Any such unauthorized use immediately terminates your access. Content you submit or post through the Services remains your property, but you grant Zania a broad worldwide, royalty-free license to use, copy, distribute, display, publish, transmit, and summarize your content solely to the extent needed to provide the Services requested by you.
Accounts and Security
You are responsible for safeguarding any account credentials associated with the Services and for any activity on accounts registered to you. You must immediately notify Zania of any unauthorized account activity. Accounts may not be shared or used by anyone other than the specific individual authorized to use that account.

ZANIA MAKES NO WARRANTIES THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS; (II) THE SERVICES WILL BE AVAILABLE, TIMELY, CURRENT, ACCURATE, RELIABLE, COMPLETE, SECURE OR ERROR-FREE; (III) THE QUALITY OF ANY PRODUCTS, SERVICES, CONTENT OBTAINED THROUGH THE SERVICES WILL BE AS REPRESENTED OR MEET YOUR EXPECTATIONS; (IV) ANY ERRORS IN THE SERVICES WILL BE CORRECTED; OR (V) THE SERVICES WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. IN NO EVENT WILL ZANIA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ZANIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE TOTAL CUMULATIVE LIABILITY OF ZANIA FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID ZANIA FOR THE APPLICABLE SERVICE IN THE PRIOR 12 MONTHS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Indemnification
You agree to defend, indemnify, and hold harmless Zania, its officers, directors, employees, contractors, agents, affiliates, and partners from and against any third-party claims, damages (actual or consequential), actions, judgments, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services, (b) your violation of these Terms; (c) your violation, misappropriation, or infringement of any rights of another (including intellectual property rights or privacy rights).
Termination of Access
Zania may terminate your access to all or part of the Services at any time for any or no reason, such as for prolonged inactivity or violation of these Terms. Provisions intended to survive termination of these Terms will remain in effect after termination.
Arbitration and Governing Law
These Terms will be governed by the laws of the State of California without regard to conflict of law principles. Except for intellectual property claims, any disputes arising out of or related to these Terms or the Services will be resolved through binding arbitration in accordance with the JAMS arbitration rules. Arbitration will be conducted in San Francisco County, California. Arbitration will proceed on an individual basis - class arbitrations and class actions are prohibited. This arbitration agreement is subject to the Federal Arbitration Act.
Changes to the Terms
Zania may update these Terms from time to time. If an update materially reduces your rights, we will notify you through the Services or by email. Your continued use of the Services following notice of changes to the Terms indicates your acceptance of the amended terms.
General Provisions
These Terms constitute the entire agreement between you and Zania related to use of the Services. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in effect. The failure to exercise or enforce any right or provision does not constitute a waiver. You agree there are no third-party beneficiaries intended under these Terms.
